ARTICLE III. MEMBERSHIP. Section 1. The members of the Virginia League of Women Voters shall be women voters and prospective women voters of Virginia. Sec. 2. the members are organized in their several localities into local leagues. In places where there are no local leagues there may be individual State members.

ARTICLE IV. OFFICERS, DIRECTORS, AND GENERAL COUNCIL. Section 1. Officers - The officers shall be a President, five Vice-Presidents, a Recording Secretary, a Treasurer and an Auditor. Sec. 2. Directors - There shall be a Board of Directors consisting of the officers, a Director from each Congressional District where there is at least one local league. five Directors at large, and the Chairmen of such Departments, not to exceed four and such Standing Committees, not to exceed six as may be established by the Board. Te Board shall have power to elect persons to fill vacancies therein - a majority vote of those present and voting shall constitute an election. Sec. 3. There shall be an Executive Committee of five members elected by the Board from its membership. Sec. 4. There shall be a General Council which shall consist of the State Board of Directors and the President of each local league.

ARTICLE V. DUTIES AND POWERS OF OFFICERS, DIRECTORS AND GENERAL COUNCIL Section 1. Officers, President -- The President shall preside at all meetings of the Corporation and of the Board of Directors, unless she shall designate someone to preside in her stead. She shall be ex-officio, a member of all Standing Committees. She shall have such usual powers of supervision and management as may pertain to the office of President. Sec. 2. Vice-Presidents - The Vice-Presidents in order of their rank shall in the event of the absence, disability, or death of the President, possess all the powers and perform all the duties of the office. The Vice=Presidents shall perform such other duties as the President and the Board of Directors shall designate. Sec. 3. Secretary -- The Secretary shall keep the minutes of all Conventions of the League and of all meetings of the Board of Directors and of the General Council, and shall perform such other functions as may be incidental to her office. Sec. 4. Treasurer - The Treasurer shall collect and receive all money due and disburse the same upon direction of the President or Board of Directors. She shall present a quarterly statement to the Board of Directors and an annual report to the Convention. Sec. 5. Auditor -- The Auditor shall make an annual audit of the books and present it to the Convention. Sec. 6. Board of Directors - The Board of Directors shall have full charge of the property and business of te corporation with power and authority to manage and conduct the same, subject to the instructions of the Convention. The Board shall hold quarterly meetings. Seven members shall constitute a quorum. Copies or digest of minutes of Board meetings shall be sent to absent members. Sec. 7. Executive Committee -- The Executive Committee shall transact all necessary business and act in emergencies between meetings of the Board. It shall meet on call of the President, or two members. Three members shall be a quorum. Sec. 7. Executive Committee -- The Executive shall consider and recommend to the Convention, the Budget and Program of work. It shall hold two meetings in each year, one of which shall precede the annual convention. Nine members shall constitute a quorum. ARTICLE VI. TERMS OF OFFICE. Section 1. The President, second Vice-President, fourth Vice-President and Treasurer shall be elected at alternate conventions from the first Vice-President, third Vice-President, fifth Vice-President, Secretary and Auditor; all terms of office to begin immediately following the elections and to continue for two convention terms, or until their successors shall have been elected. Sec. 2. No person whose consent has not been secured previously shall be nominated for office. Sec. 3. No person shall be elected to the same office for more than two consecutive terms.

ARTICLE VIII. NOMINATIONS AND ELECTIONS OF OFFICERS. Section 1. Nominations for officers and directors of the League shall be made by a Nominating Committee, reported at an early session of the Annual Convention, and posted in a conspicious place in the Conventional hall. In addition nominations may be made from the floor at the time the report is presented. Sec. 2. The Nomination Committee consisting of a member from eh Congressional Disrict in which there are organized Leagues, the first named being Chariman, shall be appointed by the Board of Directors at the Third Quarterly meeting of the year. The name and address of the Chairman of the Nominating Committee shall be sent at once to the Presidents of Local Leagues, in order that recommendations for officers, district directors, and directors at large may be made by Local Leagues. All such recommendations shall be sent to the Chairman of the Nominating Committee before the Annual Convention, signed by the President and Secretary of the Local League. It shall be the duty of the Nominating Committee to ascertain whether the persons recommended are eligible and willing to
